Mr. Darbee, 54, has been a director of PG&E Corporation and Pacific Gas and Electric Company since January 2005. Peter A. Darbee, currently the Chairman of the Board of both PG&E Corporation and the Utility, as well as the Chief Executive Officer and President of PG&E Corporation, will resign his position as Chairman of the Board of the Utility effective May 31, 2007.
