Anti-fraud programs must be supported by an effective “tone at the top" approach. A quality SOX 404 program will produce improvements in a company's financial reporting and operations and help to lessen the chance of a qualified auditor attestation. If a public company files a year end 10-K with a qualified auditor attestation it can impact negatively on the company's reputation, shareholders and lenders. Our SOX 404 program utilizes a top down approach that relies heavily on SEC/PCAOB standards, COSO/COBIT frameworks, financial reporting risk assessments and entity level controls. With SOX 404(b) over for smaller companies (non-accelerated fillers) with a market cap below $75m, independent auditors will now investigate 404(a) statements more closely to ensure the accuracy of their clients’ self-certification. While not required to provide an opinion on the internal control over financial reporting independent auditors are required to perform a "risk based" audit of financial statements. During the audit they should perform an assessment of the control environment, IT General Controls (SAS-94), Fraud risks (SAS-99) and review management's assessment, SOX 404(a) and their conclusions. If they discover a material weakness not disclosed by management, or if management has not performed an assessment or their assessment is inadequate, this should be disclosed in their report to shareholders.
